Ogier advises on four Nasdaq SPAC listings totalling approximately US$476 million

Ogier has recently acted as Cayman Islands counsel on four Nasdaq SPAC listings, raising approximately US$476 million in total.

The four listings comprised:

  • OceanLight Acquisition Corporation’s US$115 million IPO in August 2026
  • Market Technology Acquisition Corp’s US$200 million IPO in July 2026
  • Pelican Acquisition II Corporation’s US$75 million IPO in July 2026
  • FutureWave Acquisition Corporation’s US$86.25 million IPO in June 2026

Each company was established as a Cayman Islands exempted company to pursue a business combination with one or more operating businesses.

The Ogier Hong Kong corporate team team advising on these four listings was led by partner Janice Chu, with support from Nathan Powell, Ogier’s global head of Corporate, senior legal manager Sunny Lam and paralegal Jasmine Lin. In connection with Market Technology Acquisition Corp’s IPO, the Hong Kong team was also supported by Natalie Bell, partner, and James O’Sullivan, senior associate, from Ogier’s Cayman team.

Janice Chu said: “These transactions further demonstrate the strength of Ogier’s teams across different jurisdictions in advising on Cayman Islands SPAC listings and our ability to deliver seamless offshore advice on complex US capital markets transactions.

“The successful completion of four Nasdaq SPAC IPOs in a short period reflects both the depth of our SPAC experience and the close collaboration across Ogier’s global network. We are able to draw on specialist expertise from across the firm to support issuers, sponsors and underwriters on sophisticated cross-border capital markets deals.”
