Appleby advises Trailblazer Acquisition Corp on $275M Nasdaq IPO

Alexandra Low

Law firm Appleby acted as Cayman Islands legal counsel to Trailblazer Acquisition Corp. in its $275 million initial public offering on the Nasdaq Global Market, the firm said Wednesday.

Trailblazer, a special purpose acquisition company (SPAC), sold 27.5 million units at $10 each, including 3.5 million units issued through a partial exercise of the underwriters’ over-allotment option. Trading of the units began Sept. 10 under the ticker symbol BLZRU. The company said its Class A shares and warrants are expected to trade separately under the symbols BLZR and BLZRW.

Each unit consists of one Class A ordinary share and one-third of a redeemable warrant. Each whole warrant allows the holder to purchase a Class A share at $11.50.

Trailblazer said it was formed to pursue mergers, acquisitions or other business combinations, with a focus on the media, communications, sports, entertainment, technology and consumer retail sectors.

Appleby said its team handled Cayman legal aspects of the offering, led by counsel Alexandra Low with partner Simon Raftopoulos and paralegal Sophia Cunningham supporting.
